Terms of Service

1. Acceptance of Terms

By accessing or using FieldGility ("the Service"), operated by FieldGility ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

FieldGility is a cloud-based field service management platform that provides tools for job scheduling, dispatching, GPS crew tracking, invoicing, estimating, customer management, automated workflows, and related business operations. The Service is accessible via web browser at app.fieldgility.com and through our mobile web application.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately of any unauthorized access

4. Subscriptions and Billing

  • Free Trial: New accounts receive a 14-day free trial with full access to platform features.
  • Plans: After the trial period, you must subscribe to a paid plan to continue using the Service. Plans are billed monthly.
  • Payment: Payments are processed through Stripe. You authorize us to charge your payment method on a recurring basis.
  • Cancellation: You may cancel your subscription at any time. Access continues through the end of the current billing period. No refunds are issued for partial months.
  • Price Changes: We may change plan pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Your Data

  • Ownership: You retain full ownership of all data you enter into the platform (customer records, job data, invoices, estimates, etc.).
  • License: You grant us a limited license to store, process, and display your data solely to provide the Service.
  • Export: You may export your data at any time through the platform's export features.
  • Deletion: Upon account cancellation, your data is preserved for 90 days, then may be permanently deleted. You may request immediate deletion by contacting support.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Upload malicious code, viruses, or harmful content
  • Reverse-engineer, decompile, or disassemble the Service
  • Resell, sublicense, or redistribute the Service without written permission
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity

7. Third-Party Integrations

The Service may integrate with third-party services including Google, Stripe, and others. Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

8. GPS Tracking and Location Data

The Service includes optional GPS tracking features for field crews. By enabling GPS tracking, you confirm that you have obtained appropriate consent from any employees whose location is being tracked, in compliance with applicable laws. You are responsible for informing your employees about location tracking and obtaining their consent.

9. Intellectual Property

The Service, including its design, code, features, and branding, is the intellectual property of FieldGility and is protected by copyright and trademark laws. You may not copy, modify, or create derivative works based on the Service without our written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDGILITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless FieldGility, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.

14. Termination

We may terminate or suspend your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, and limitation of liability) will survive.

15. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Richmond County, Georgia.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use after changes constitutes acceptance of the new Terms.
